Welcome to the Omada website located at go.omadahealth.com (the “Site”). Please read these Terms of Use (the “Terms”) and our Privacy Policy (https://go.omadahealth.com/privacy/) carefully because they govern your use of our Site (and the other websites we own or operate, including, without limitation,www.omadahealth.com) and our online services that we provide. To make these Terms easier to read, the Site and our services are collectively called the “Services.”

These Terms constitute a binding legal agreement between you, as a user of the Services, and Omada Health, Inc. (“Company”, “we” or “us”). If you have been authorized to, and are helping another person visit our Services, these Terms constitute a legally binding agreement between both the helper and the person being helped and Company.

THE SERVICES ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, AND WHILE THE SERVICES PROVIDE INFORMATION, WE CANNOT AND DO NOT DIAGNOSE YOUR HEALTH CONDITIONS. ALWAYS CONSULT A PHYSICIAN OR OTHER HEALTHCARE PROVIDER FOR PERSONAL MEDICAL ATTENTION AND ADVICE; DON’T USE THE SERVICES AS A SUBSTITUTE FOR CONSULTING WITH YOUR PHYSICIAN OR OTHER HEALTHCARE PROVIDER. USE OF THE SERVICES IS NOT FOR MEDICAL EMERGENCIES. IF YOU THINK YOU HAVE A MEDICAL EMERGENCY, CALL 911 IMMEDIATELY.

We reserve the right, at our discretion, to modify, replace, update or change any of these Terms or change, suspend, or discontinue the Services (including without limitation, the availability of any feature, database, or content) at any time and for any reason. Company shall not be liable to you for any such modification, replacement, suspension or discontinuation of your rights to access and use the Services. However, if we make any material changes to these Terms, we will notify registered users by e-mail, post a notice on our home page and/or alert you to such changes by other similar means. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability. It is your responsibility to check these Terms periodically for changes. By continuing to use the Services, you agree to accept all such revisions.

If you accept these Terms, but later decide that you want to terminate your account, please contact Customer Support at support@omadahealth.com, and Company will verify and complete your request.

1. Applicability of These Terms

Your access to, and use of the Services is expressly conditioned on your acceptance of and compliance with these Terms. These Terms apply to all users of the Services, including users who are also contributors of content, information, and other materials or services in the Services. If you do not agree with these Terms, you are not authorized to access or use any portion of the Services in any manner, for any purpose.

Your use of any Services with which we may be affiliated may be subject to additional terms, including terms and conditions provided by a third party. If you do not agree with any of these additional terms and conditions, you are not authorized to use the Services subject to such additional terms.

In order to receive our Services, you must register as more fully described below in the section entitled “Registration.” The Services are available only to individuals who are at least 18 years old. You represent and warrant that you have the legal ability (capacity) to enter into a binding contract and are at least 18 years old, and that all registration information you submit is accurate and truthful. Company may, in its sole discretion, refuse to offer the Services to any person or entity and change our eligibility criteria at any time for any reason. This provision is void where prohibited by law and the right to access the Services is revoked in such jurisdictions.

2. Our Services

As part of the Services, we offer group-based programs to certain individuals (such as web-based health coaching services) for changing behaviors that can lead to health problems. Our Services may include, without limitation, the following:

The ability to access health information shared by you and others through our Services, augmented with information collected about you through authorized third parties (e.g., FitBit) and to build an online community related to your weight loss and health goals.

Access to other information about Company and our products and/or services through the various websites we own and operate, including, without limitation, the omadahealth.com website and domain name, and any other features, content, or applications offered from time to time by Company in connection therewith.

The ability to interact with relevant Company personnel in a timely and effective manner from the time of initial application and throughout the course of program participation.

The ability to interact with other users of our Services from the time of registration with our Services and throughout the course of engagement with our Services.

3. No Medical Advice

THE SERVICES DO NOT INCLUDE THE PROVISION OF MEDICAL CARE BY COMPANY. RATHER, THE SERVICES ENABLE REGISTERED USERS TO ACCESS WEB-BASED HEALTH COACHING TOOLS AND RESOURCES, INCLUDING A HEALTH COACH, WHO MAY PROVIDE YOU WITH LIMITED WEB-, TELEPHONE-, SMS-, OR EMAIL-BASED SUPPORT. COMPANY’S HEALTH COACHES ARE NOT LICENSED PHYSICIANS OR LICENSED HEALTH CARE PROVIDERS.

COMPANY DOES NOT EMPLOY OR CONTRACT WITH PHYSICIANS TO PROVIDE MEDICAL CARE TO YOU. COMPANY DOES NOT OFFER MEDICAL ADVICE OR DIAGNOSES OR ENGAGE IN THE PRACTICE OF MEDICINE. OUR SERVICES ARE NOT INTENDED TO BE, AND DO NOT CONSTITUTE, A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT AND ARE OFFERED FOR INFORMATIONAL PURPOSES ONLY. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTH PROVIDER WITH ANY QUESTIONS REGARDING YOUR MEDICAL CONDITION OR THE USE (OR FREQUENCY) OF ANY MEDICATION OR MEDICAL DEVICE. NEVER DISREGARD PROFESSIONAL MEDICAL ADVICE OR DELAY IN SEEKING IT BECAUSE OF SOMETHING YOU HAVE READ IN CONNECTION WITH OUR SERVICES. TO THE EXTENT YOU RECEIVE MEDICAL CARE CONSEQUENT TO THE SERVICES, YOUR TREATING MEDICAL PROFESSIONAL IS RESPONSIBLE FOR OBTAINING YOUR INFORMED CONSENT TO ANY MEDICAL DIAGNOSIS OR TREATMENT, INCLUDING WITHOUT LIMITATION, YOUR CONSENT TO USE TELEMEDICINE IN THE COURSE OF YOUR TREATMENT TO THE EXTENT SUCH CONSENT IS REQUIRED BY APPLICABLE LAW. THIS DIAGNOSIS OR TREATMENT IS SEPARATE FROM AND UNRELATED TO THE SERVICES PROVIDED BY COMPANY. THE COMPANY DOES NOT REPRESENT OR WARRANT THAT THE SERVICES OR ANY PARTICULAR DRUG OR TREATMENT IS SAFE, APPROPRIATE, OR EFFECTIVE FOR YOU.

4. No Emergency Services

THE SITES AND SERVICES ARE FOR NON-EMERGENCY PURPOSES ONLY. DO NOT ATTEMPT TO ACCESS EMERGENCY CARE THROUGH THE SITES OR THE SERVICES. IF AT ANY TIME YOU ARE CONCERNED ABOUT YOUR CARE OR TREATMENT, OR IF YOU THINK YOU HAVE A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST OPEN EMERGENCY ROOM.

THE SERVICES ARE NOT INTENDED TO SUPPORT OR CARRY EMERGENCY OR TIME-CRITICAL CALLS OR COMMUNICATIONS TO ANY TYPE OF HOSPITAL, LAW ENFORCEMENT AGENCY, MEDICAL CARE UNIT, OR ANY OTHER KIND OF EMERGENCY OR TIME-CRITICAL SERVICE.

If Company becomes aware of or contemplates an emergency, Company may, at its sole discretion secure from any licensed hospital, physician, and/or medical personnel (“Emergency Responders”) any emergency treatment deemed necessary by Company for your immediate care. You understand and agree that, in the event that Company does take any action with respect to securing Emergency Responders on your behalf, you, not Company, will be solely responsible for payment of any and all medical services rendered in connection with any such treatment.

5. Privacy and Your Personal Information

Company’s current privacy policy is located at https://go.omadahealth.com/privacy (the “Privacy Policy”) and is expressly incorporated into these Terms. The Privacy Policy discloses Company’s practices regarding the collection, use and disclosure of your personal information. By agreeing to these Terms, you are also agreeing to the terms of Company’s Privacy Policy and consenting to the use and disclosure of information provided to Company as set forth herein. For inquiries in regard to the Privacy Policy, or to report a privacy-related problem, please contact privacy@omadahealth.com.

The Services may include the ability to connect with a small social network of people diagnosed with or prescreened for certain medical conditions, including prediabetes, glucose intolerance, metabolic syndrome, or borderline diabetes. BY VISITING OR USING THE SERVICES, YOU CONSENT TO OUR COLLECTION, USE AND DISCLOSURE OF YOUR PERSONAL INFORMATION, INCLUDING HEALTH-RELATED INFORMATION SUCH AS YOUR MEDICAL CONDITIONS, IN ACCORDANCE WITH OUR PRIVACY POLICY. IF YOU DO NOT CONSENT TO THE DISCLOSURE OF THIS INFORMATION, YOU SHOULD NOT ACCESS OR USE THE SITES OR THE SERVICES.

By posting, creating, using, and disclosing data, including your individually identifiable health information through User Submissions on or at any of the Sites or otherwise through the Services, you hereby irrevocably and unconditionally acknowledge that all such data is owned by Company, subject to Company’s compliance with the current Privacy Policy, the HIPAA Notice, and all applicable federal and state privacy laws.

6. Rules and Conduct

As a condition of use, you agree not to use the Services for any purpose that is prohibited by these Terms or by applicable law. The Services (including, without limitation, any Content or User Submissions (both as defined below)) are provided only for your own personal, non-commercial, limited use in accordance with these Terms. You are responsible for all of your activity in connection with the Services. For purposes of these Terms, the term “Content” includes, without limitation, any advertisements, advice, suggestions, videos, audio clips, written forum comments, information, materials, data (obtained about you through the Services or from third parties), text, photographs, images, software, scripts, art, graphics, logos, button icons and interactive features generated, provided, or otherwise made accessible by or to Company or its partners on or through the Services.

By way of example, and not limitation, you shall not, and shall not permit any third party to, directly or indirectly (a) take any action or (b) upload, download, post, submit or otherwise distribute or facilitate distribution of any content on or through the Services, that:

infringes any patent, trademark, trade secret, copyright, right of publicity or other right of any other person or entity;

is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, obscene, offensive, or profane;

constitutes unauthorized or unsolicited advertising, junk or bulk e-mail (“spamming”);

involves commercial activities and/or sales without Company’s prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes;

contains software viruses or any other computer codes, files, or programs that are designed or intended to disrupt, damage, limit or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any system, data, password or other information of Company or any third party; or

Impersonates any person or entity, including any employee or representative of Company.

Additionally, you shall not: (a) take any action that imposes or may impose (as determined by Company in its sole discretion) an unreasonable or disproportionately large load on Company’s (or its third party providers’) infrastructure; (b) interfere or attempt to interfere with the proper working of the Services or any activities conducted on the Services; (c) bypass any measures Company may use to prevent or restrict access to the Services (or other accounts, computer systems or networks connected to the Services); (d) run Maillist, Listserv, any form of auto-responder or “spam” on the Services; or (e) use manual or automated software, devices, or other processes to “crawl” or “spider” any page of the Sites.

You shall not (directly or indirectly): (a) decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Service, except to the limited extent applicable laws specifically prohibit such restriction; (b) modify, translate, or otherwise create derivative works of any part of the Services; or (c) copy, rent, lease, distribute, or otherwise transfer any or all of the rights that you receive hereunder. You shall abide by all applicable local, state, national and international laws and regulations.

Company reserves the right to remove any Content from the Sites or the Services at any time, for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content or if Company is concerned that you may have violated these Terms), or for no reason at all.

7. Registration; Computer Equipment and Internet Services; Consent to Receive Email/Phone Communications

As a condition to using certain aspects of the Services, you will be required to register with Company and select a password and screen name (“Company User ID”). You shall provide Company with true, accurate, complete, and current registration information. Failure to do so shall constitute a breach of these Terms, which may result in immediate termination of your Company account. You shall not (a) select or use as a Company User ID a name of another person with the intent to impersonate that person; (b) use as a Company User ID a name subject to any rights of a person other than you without appropriate authorization; or (c) use as a Company User ID a name that is otherwise offensive, vulgar or obscene. Company reserves the right to refuse registration of, or cancel a Company User ID in its sole discretion. You are solely responsible choosing your Company User ID and for activity that occurs on your account. Additionally, you shall be responsible for setting your account password, as well as maintaining its confidentiality. You shall never use another user’s account without such other user’s express permission. You will immediately notify Company in writing of any unauthorized use of your account, or other account related security breach of which you become aware.

As a condition of using our Sites and participating in our Services, you will be required to provide Company with your email address and phone number as part of registration. As part of the Sites and Services, you will receive from us email and other communications (e.g., SMS messages and voice calls) relating to your use of our Sites and/or your participation in our Services. By disclosing this contact information or otherwise sending electronic communications through the Services or the Sites, you acknowledge and agree that we may send you communications through registered mail, email and other electronic communications, SMS messages, voice calls or otherwise, that we determine, in our sole discretion, are related to your use of our Sites and/or participation in our Services. As part of using our Sites and or Services you agree to receive all agreements, notices, disclosures and other communications that we provide to you in electronic form, and acknowledge that receipt of such documents in electronic form satisfies any legal requirement that such communications be in writing.

With the exception of the Services, you are responsible for obtaining, installing, maintaining and operating all software, hardware or other equipment (collectively, “Systems”) necessary for you to access and use the Services, as well as Internet services via the Internet service provider of your choice. This responsibility includes, without limitation, your utilizing current versions of web-browsers and appropriate encryption, antivirus, anti-spyware, and Internet security software. You acknowledge that there are certain security, corruption, transmission error, and access availability risks associated with using open networks such as the Internet, and you hereby expressly assume such risks. You acknowledge that you are responsible for the data security of the Systems used to access the Services and for the transmission and receipt of information using such Systems. You acknowledge that you have requested access to the Service for your convenience, have made your own independent assessment of the adequacy of the Internet and Systems, and that you are satisfied with that assessment. We are not responsible for any errors or problems that arise from the malfunction or failure of the Internet or the Systems.

WHEN YOU CONTACT US BY EMAIL OR TEXT, WE HAVE NO WAY OF PROTECTING YOUR INFORMATION UNTIL IT REACHES US SINCE EMAIL AND TEXT MESSAGING AND THE COMMUNICATION LINES SUCH COMMUNICATIONS TRAVEL OVER DO NOT HAVE THE SECURITY FEATURES THAT ARE BUILT INTO OUR SERVICES AND MAY NOT BE SECURE. BY SENDING ANY INFORMATION TO US VIA EMAIL OR TEXT, OR AGREEING TO RECEIVE ELECTRONIC COMMUNICATIONS FROM US THROUGH EMAIL OR TEXT, YOU ACKNOWLEDGE AND ACCEPT ANY RISK AND DAMAGE ARISING FROM DISCLOSURE OF SUCH INFORMATION IN THE COURSE OF TRANSMISSION.

8. Fees and Payment

Company reserves the right to require payment of fees for certain features of the Services. Should you elect to subscribe to such features, you shall pay all applicable fees, as described on the Sites in connection with such features. Company reserves the right to change its price list and to institute new charges at any time, upon prior notice to you, which may be sent by email or posted on the Sites. Use of the Services by you following such notification constitutes your acceptance of any new or increased charges.

9. Third-Party Sites and Materials

The Services may allow you to display, use, include or make available content, data, information, applications or materials from third parties (“Third Party Materials”) or provide links to certain third party websites (“Third Party Websites”). For example, the Services may integrate and use a scale through technology provider BodyTrace. In such an event, before using these Services, you must agree to the BodyTrace: Terms of Use and BodyTrace: Privacy Policy.

When you allow the use of any Third Party Materials or access any Third Party Websites, you do so at your own risk, and you understand and agree that you are solely responsible for reading and understanding any terms of use and/or privacy policies that apply to such Third Party Materials or Third Party Websites. These Third Party Materials and Third Party Websites are not under Company’s control, and Company is not responsible or liable for the availability, reliability, content, functions, accuracy, legality, appropriateness, services, materials or any other aspect of such Third Party Materials or found through the use of any Third Party Websites that link to or from the Services or are otherwise referenced in the Services. Company is providing these Third Party Materials and links to Third Party Websites for your convenience, and you understand that Company does not have control over the content and performance of any Third Party Websites and Company is not responsible for the content and/or performance of any such Third Party Websites. The inclusion of any such Third Party Materials or links in the Services does not imply endorsement by Company or any association with the third party website’s operators. Company also does not accept any responsibility for technical failures or for unauthorized access of user transmissions by any third parties.

The providers of Third Party Materials and Third Party Websites (each, a “Third Party Service Provider”) may collect and use certain information about you, as specified in their privacy policies and terms of use. Prior to using or providing any information to any Third Party Service Provider, you should review their privacy policy and terms of use. If you do not understand or do not agree to the terms of a Third Party Service Provider’s privacy policy and/or terms of use, you should not use the related third party services.

COMPANY HEREBY DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR ANY OF YOUR INFORMATION COLLECTED OR USED BY ANY THIRD PARTY SERVICE PROVIDER. IN ADDITION, YOU AGREE THAT COMPANY WILL HAVE NO RESPONSIBILITY OR LIABILITY FOR ANY INFORMATION, SOFTWARE, MATERIALS OR SERVICES PROVIDED BY ANY THIRD PARTIES, INCLUDING WITHOUT LIMITATION ANY THIRD PARTY SERVICE PROVIDERS LINKED THROUGH THE SERVICES, AND YOU AGREE TO ASSUME ALL RESPONSIBILITY AND LIABILITY FOR ANY DAMAGES, LOSS, OR OTHER HARM, WHETHER TO YOU OR TO THIRD PARTIES, RESULTING FROM OR ALLEGED TO HAVE RESULTED FROM YOUR USE OF THIRD PARTY MATERIALS AND THIRD PARTY WEBSITES.

10. Company, Content, Intellectual Property

The Services and the Content are protected under United States and international intellectual property, copyright, trademark, patent, trade secret and other laws. The Sites, the Services and the Content are the sole property of Company. You shall abide by all copyright notices, information, and restrictions contained in any Content accessed through the Services. You shall not sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, create derivative works from, or otherwise exploit the Services or any Content or third party submissions or other proprietary rights not owned by you, (a) without the consent of the respective owners or other valid right, and (b) in any way that violates any third party right.

You may, to the extent the Sites expressly authorize you to do so, download or copy the Content, and other items displayed on the Sites for download, for personal use only in accordance with these Terms, provided that you maintain all copyright, trademark and other notices contained in such Content. You shall not store any significant portion of any Content in any form. Copying or storing of any Content for other than personal, noncommercial use in accordance with these Terms is expressly prohibited without prior written permission from Company, or from the copyright holder identified in such Content’s copyright notice. You acknowledge that all Content accessed by you using the Services is at your own risk and you will be solely responsible for any damage or loss to any party resulting therefrom. Under no circumstances will Company be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred in connection with use of or exposure to any Content posted, emailed, accessed, transmitted or otherwise made available via the Services.

Subject to your compliance with these Terms, as revised (and any other terms governing your use of the Services) you are granted a personal, non-exclusive, non-transferable, non-sublicenseable, revocable, limited right to enter our Site and use the Services. All rights in and to the Sites and the Services not expressly granted in these Terms are hereby reserved and retained by Company.

Omada Health, Omada, Prevent and the O logo (the “Company Marks”) are trademarks or registered trademarks of Omada Health, Inc. Other trademarks, service marks, graphics and logos appearing on the Sites or the Services may be the property of third parties (the “Third Party Marks”). Neither your use of the Sites or the Services nor these Terms grant you any right, title or interest in or to, or any license to reproduce or otherwise use, the Company Marks or any Third Party Marks.

11. User Submissions

The Services may provide you with the ability to create, upload, submit (through our Sites or through third-party websites, software or tools), disclose, distribute or otherwise post (hereafter, “posting”) content (including personal health information), videos, audio clips, written forum comments, data, text, photographs, software, scripts, graphics, works of authorship or other information related to the Services, including without limitation any feedback or suggestions for improvements, enhancements, or error corrections (collectively, “User Submissions”). You represent and warrant to us that you have the legal right to post such User Submissions and that doing so will not violate any law or infringe upon or violate the rights of any person or entity.

By posting User Submissions on or at any of the Sites or otherwise through the Services, including without limitation any individually identifiable health or personal information you submit to us, you hereby irrevocably and unconditionally assign to us all right, title, and interest in and to any such User Submissions (including, without limitation, any modifications, reproductions, or derivative works thereof), and all User Submissions, you supply to us through the Sites or the Services shall be deemed and shall remain our property, subject to Company’s compliance with the current Privacy Policy, the HIPAA notice, and all applicable Federal and State privacy laws. You further understand and agree that Company has the right to create, use, and disclose such User Submissions in accordance with applicable law and/or after they have been de-identified in accordance with 45 CFR section 164.514.

You understand that Company shall have the right to de-identify, reformat, excerpt, or translate any materials, content or information submitted by you; and that all information publicly posted or privately transmitted through the Sites is the sole responsibility of the person from which such content originated and that Company will not be liable for any errors or omissions in any content; and that Company cannot guarantee the identity of any other users with whom you may interact in the course of using the Services.

Company does not endorse and has no control over any User Submissions. Company cannot guarantee the authenticity of any data which users may provide about themselves.

Company has no obligation to monitor the Sites, Services, Content, or User Submissions. Company may remove any User Submission at any time for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such User Submission or in order to comply with applicable laws), or for no reason at all. You understand that Company shall have the right, but not the obligation, to record or monitor for quality assurance and training purposes all telephonic, e-mail and other forms of communication. By accepting these Terms, you consent to any such recording or saving.

12. Termination

Company may terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately, which may result in the forfeiture and destruction of all information associated with your account. Upon termination of your right to use our Services or Sites or our termination of the Services or Sites, all licenses and other rights granted to you by these Terms will immediately terminate.

If you wish to terminate your account, you may do so by following the instructions on the Sites. Any fees paid hereunder are non-refundable. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

13. Warranty Disclaimer

Company has no special relationship with or fiduciary duty to you. THE SERVICES (INCLUDING, WITHOUT LIMITATION, ANY CONTENT) ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND ARE WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. COMPANY, AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS AND CONTENT PROVIDERS DO NOT WARRANT THAT: (A) THE SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICES IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS OR THE STATED PURPOSE. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.

14. Indemnification

You shall defend, indemnify, and hold harmless Company, its affiliates and each of its, and its affiliates employees, contractors, directors, suppliers and representatives from all liabilities, claims, and expenses, including reasonable attorneys’ fees, that arise from or relate to: (a) your use or misuse of, or access to, the Services, Content or otherwise from your User Submissions; (b) your breach of these Terms; (c) your violation or alleged violation of any applicable Federal, State or local laws, rules and/or regulations; or (d) infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity. Company reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with Company in asserting any available defenses.

15. Limitation of Liability

IN NO EVENT SHALL COMPANY, NOR ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS, BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICES (INCLUDING, WITHOUT LIMITATION, ANY CONTENT): (A) FOR ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, SUBSTITUTE GOODS OR SERVICES (HOWEVER ARISING); (B) FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE (REGARDLESS OF THE SOURCE OF ORIGINATION); (C) FOR YOUR RELIANCE ON THE SERVICES; OR (D) FOR ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) ONE-HUNDRED U.S. DOLLARS ($100.00). SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU IF YOU RESIDE IN SUCH A JURISDICTION.

NOTHING HEREIN SHALL LIMIT THE POTENTIAL PROFESSIONAL LIABILITY OF A PHYSICIAN OR OTHER LICENSED HEALTH CARE PROVIDER ARISING FROM OR RELATED TO MEDICAL SERVICES YOU MAY RECEIVE CONSEQUENT TO THE USE OF THE SERVICES. WE ARE NOT LIABLE TO ANY PERSON OR USER FOR ANY HARM CAUSED BY THE NEGLIGENCE OR MISCONDUCT OF ANY LICENSED MEDICAL PROFESSIONAL OR ANY OTHER PARTY.

When using the Services, information will be transmitted over a medium which may be beyond the control and jurisdiction of Company, its customers and/or its vendors. Accordingly, Company assumes no liability for or relating to the delay, unintended disclosure, failure, interruption or corruption of any data or other information transmitted in connection with use of the Services.

Any claims against Company arising in connection with your use of the Services must be brought against Company within one (1) year of the date of the event giving rise to such action.

16. International Use

Company makes no representation that the Services are appropriate or available for use in locations outside of the United States, and accessing the Services is prohibited from territories where such Services are illegal. If you access the Services from other locations, you do so at your own initiative and are responsible for compliance with local laws.

17. Governing Law; Dispute Resolution

A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

These Terms shall be governed by and construed in accordance with the laws of the State of California, excluding its conflicts of law rules, and the United States of America. Any dispute arising from or relating to the subject matter of this Agreement shall be finally settled by binding arbitration in San Francisco County, California, using the English language in accordance with the Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. (“JAMS”) then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with the Comprehensive Arbitration Rules and Procedures of JAMS. The prevailing party in the arbitration shall be entitled to receive reimbursement of its reasonable expenses (including reasonable attorneys’ fees, expert witness fees and all other expenses) incurred in connection therewith. Judgment upon the award so rendered may be entered in a court having jurisdiction or application may be made to such court for judicial acceptance of any award and an order of enforcement, as the case may be. Notwithstanding the foregoing, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief pending a final decision by the arbitrator. For all purposes of this Agreement, the parties consent to exclusive jurisdiction and venue in the United States Federal Courts located in the Northern District of California or in a state court in the County of San Francisco, California. Use of the Services is not authorized in any jurisdiction that does not give effect to all provisions of these Terms, including without limitation, this Section.

18. Integration and Severability

These Terms, the Privacy Policy, and any agreement referenced herein, constitute the entire agreement between you and Company with respect to the Services, and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Company with respect to the Services . If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

19. Miscellaneous

Company shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Company’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including “line-noise” interference). These Terms are personal to you, and are not assignable, transferable or sublicensable by you except with Company’s prior written consent. Company may assign, transfer or delegate any of its rights and obligations hereunder without consent. Our licensors may be entitled to enforce these Terms as third-party beneficiaries. There are no other third-party beneficiaries to these Terms except, if applicable, a party to an applicable Benefit Agreement. No agency, partnership, joint venture, or employment relationship is created as a result of these Terms and neither party has any authority of any kind to bind the other in any respect. In any action or proceeding to enforce rights under these Terms, the prevailing party will be entitled to recover costs and attorneys’ fees. All notices under these Terms will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service.

20. Digital Millennium Copyright Act Policy

If you have evidence, know, or have a good faith belief that your rights or the rights of a third party have been violated and you want Company to delete, edit, or disable the material in question, you must provide Company with all of the following information: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed; (b) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works; (c) identification of the material that is claimed to be infringed or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Company to locate the material; (d) information reasonably sufficient to permit Company to contact you, such as an address, telephone number, and if available, an electronic mail address at which you may be contacted; (e) a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. Nos reservamos el derecho, a nuestro criterio exclusivo, de modificar, reemplazar, actualizar o cambiar cualquiera de estas Condiciones o de cambiar, suspender o cancelar los Servicios (inclusive, a título enunciativo y no limitativo, la disponibilidad de toda aplicación, base de datos o contenido) en cualquier momento y por cualquier razón. 1. Aplicabilidad de Las Presentes Condiciones

La capacidad de acceder a información médica compartida por usted y por otros a través de nuestros Servicios, aumentada con información recolectada acerca de usted a través de terceros autorizados (por ejemplo, FitBit) y de construir una comunidad en Internet relacionada con sus objetivos de pérdida de peso y de salud.

El acceso a otra información acerca de la Empresa y de nuestros productos o servicios a través de los distintos sitios web de nuestra propiedad y que operamos, inclusive, a título enunciativo y no limitativo, el sitio web y nombre de dominio omadahealth.com, y toda otra característica, contenido o aplicación ofrecidos oportunamente por la Empresa en relación con ellos.

La capacidad de interactuar con personal relevante de la Empresa de manera oportuna y efectiva desde el momento de su solicitud inicial y a lo largo de su participación en el programa.

3. No Provisión de Asesoramiento Médico

LOS SERVICIOS NO INCLUYEN EL SUMINISTRO DE ATENCIÓN MÉDICA POR PARTE DE LA EMPRESA, SINO QUE LES PERMITEN A USUARIOS REGISTRADOS ACCEDER A HERRAMIENTAS Y RECURSOS DE ASESORAMIENTO MÉDICO POR INTERNET, ENTRE ELLOS, A UN ASESOR MÉDICO, QUE PODRÁ BRINDARLE APOYO LIMITADO POR INTERNET, TELÉFONO, SMS O CORREO ELECTRÓNICO. LOS ASESORES MÉDICOS NO SON MÉDICOS AUTORIZADOS.

LA EMPRESA NO EMPLEA NI CONTRATA A MÉDICOS PARA QUE LE BRINDEN ATENCIÓN MÉDICA. LA EMPRESA NO OFRECE ASESORAMIENTO MÉDICO NI DIAGNÓSTICOS NI EJERCE MEDICINA. NUESTROS SERVICIOS NO ESTÁN CONCEBIDOS PARA SUSTITUIR NI SUSTITUYEN EL ASESORAMIENTO, DIAGNÓSTICO O TRATAMIENTO MÉDICO PROFESIONAL Y SE OFRECEN SÓLO PARA FINES INFORMATIVOS. SIEMPRE SOLICITE EL ASESORAMIENTO DE SU MÉDICO O DE OTRO PROVEEDOR DE ATENCIÓN MÉDICA CALIFICADO RESPECTO DE TODA PREGUNTA EN RELACIÓN CON SU AFECCIÓN MÉDICA O CON EL USO (O FRECUENCIA) DE TODO MEDICAMENTO O DISPOSITIVO MÉDICO. NUNCA IGNORE EL ASESORAMIENTO MÉDICO PROFESIONAL NI SE DEMORE EN SOLICITARLO COMO CONSECUENCIA DE INFORMACIÓN QUE HAYA LEÍDO EN RELACIÓN CON NUESTROS SERVICIOS. EN LOS CASOS EN QUE RECIBA ATENCIÓN MÉDICA COMO CONSECUENCIA DE LOS SERVICIOS, EL PROFESIONAL MÉDICO TRATANTE ES RESPONSABLE DE OBTENER SU CONSENTIMIENTO INFORMADO PARA TODO DIAGNÓSTICO O TRATAMIENTO MÉDICO, INCLUSIVE, A TÍTULO ENUNCIATIVO Y NO LIMITATIVO, SU CONSENTIMIENTO PARA UTILIZAR TELEMEDICINA EN SU TRATAMIENTO EN LA MEDIDA EN QUE TAL CONSENTIMIENTO SEA REQUERIDO POR LA LEGISLACIÓN ESTADUAL VIGENTE. TAL TRATAMIENTO ES INDEPENDIENTE DE LOS SERVICIOS BRINDADOS POR LA EMPRESA Y NO ESTÁ RELACIONADO CON ELLOS. LA EMPRESA NO DECLARA NI GARANTIZA QUE LOS SERVICIOS NI NINGÚN FÁRMACO NI TRATAMIENTO PARTICULAR SEA SEGURO, ADECUADO O EFECTIVO PARA USTED.

4. No Provisión de Servicios de Emergencia

LOS SITIOS Y SERVICIOS SON SÓLO PARA FINES NO RELACIONADOS CON EMERGENCIAS. NO INTENTE ACCEDER A ATENCIÓN MÉDICA DE EMERGENCIA A TRAVÉS DE LOS SITIOS O DE LOS SERVICIOS. SI EN ALGÚN MOMENTO LE PREOCUPA SU ATENCIÓN MÉDICA O TRATAMIENTO O SI CREE QUE TIENE UNA EMERGENCIA MÉDICA, LLAME AL 911 O PRESÉNTESE EN LA SALA DE EMERGENCIAS MÁS CERCANA QUE ESTÉ ABIERTA.

LOS SERVICIOS NO ESTÁN CONCEBIDOS PARA ATENDER NI REALIZAR LLAMADAS DE EMERGENCIA O EN LAS QUE EL TIEMPO SEA UN FACTOR CRÍTICO NI COMUNICACIONES A NINGÚN TIPO DE HOSPITAL, AGENCIA DEL ORDEN PÚBLICO, UNIDAD DE ATENCIÓN MÉDICA O NINGÚN OTRO TIPO DE SERVICIOS DE EMERGENCIA O EN LOS QUE EL TIEMPO SEA UN FACTOR CRÍTICO.

Si la Empresa recibe información acerca de una emergencia o detecta alguna, la Empresa podrá, a su criterio exclusivo, obtener de cualquier hospital, médico o personal médico autorizado (“Personal de Servicios de Emergencia”) cualquier tratamiento de emergencia considerado necesario por la Empresa para su atención inmediata. Usted comprende y acepta que, en caso de que la Empresa tome alguna medida respecto de la obtención de Personal de Servicios de Emergencia en su nombre, usted, y no la Empresa, será exclusivamente responsable del pago de todo servicio médico brindado en relación con tal tratamiento.

5. La Privacidad y su Información Personal

La política de privacidad actual de la Empresa se encuentra en https://go.omadahealth.com/privacy (la “Política de Privacidad”) y se encuentra expresamente incorporada a las presentes Condiciones. La Política de Privacidad revela las prácticas de la Empresa respecto de la recolección, el uso y la divulgación de su información personal. Al aceptar las presentes Condiciones, usted también acepta las condiciones de la Política de Privacidad de la Empresa y presta su consentimiento para el uso y la divulgación de la información brindada a la Empresa tal como se establece en el presente. Para consultas respecto de la Política de Privacidad o para informar acerca de un problema relacionado con la privacidad, comuníquese con privacy@omadahealth.com.

Los Servicios podrán incluir la capacidad de relacionarse con una pequeña red social de personas con diagnósticos de ciertas afecciones médicas, entre ellas, prediabetes, intolerancia a la glucosa, síndrome metabólico o diabetes limítrofe. AL VISITAR O UTILIZAR LOS SERVICIOS, USTED PRESTA SU CONSENTIMIENTO PARA NUESTRA RECOLECCIÓN, USO Y DIVULGACIÓN DE SU INFORMACIÓN PERSONAL, INCLUSIVE INFORMACIÓN MÉDICA PERSONAL, TAL COMO SUS AFECCIONES MÉDICAS, EN CONFORMIDAD CON NUESTRA POLÍTICA DE PRIVACIDAD. SI USTED NO PRESTA SU CONSENTIMIENTO PARA LA DIVULGACIÓN DE TAL INFORMACIÓN, NO DEBERÁ ACCEDER A LOS SITIOS O A LOS SERVICIOS NI UTILIZARLOS.

Al publicar, crear, utilizar y divulgar datos, entre ellos su información médica individualmente identificable a través de Presentaciones de Usuario en alguno de los Sitios o de otra manera a través de los Servicios, por el presente reconoce de manera irrevocable e incondicional que todos aquellos datos son propiedad de la Empresa, sujeto al cumplimiento por parte de la Empresa de la Política de Privacidad actual, de la Notificación de la HIPAA [Ley de transferencia y responsabilidad de seguros médicos] y de todas las leyes de privacidad federales y estaduales vigentes.

6. Reglas y Conducta

Como condición de uso, usted acepta no utilizar los Servicios para ningún fin prohibido por las presentes Condiciones. Los Servicios (que incluyen, a título enunciativo y no limitativo, todo Contenido o Presentaciones de Usuario [en ambos casos, tal como se definen a continuación]) se proveen sólo para su uso personal, no comercial y limitado, conforme a las presentes Condiciones. Usted es responsable de toda su actividad en relación con los Servicios. A los fines de las presentes Condiciones, el término “Contenido” incluye, a título enunciativo y no limitativo, todo anuncio, asesoramiento, sugerencia, video, clip de audio, comentarios escritos en foros, información, materiales y datos (obtenidos acerca de usted a través de los Servicios o de terceros), texto, fotografía, imagen, software, guión, arte, gráfico, logo, ícono de botón y aplicación interactiva generados, suministrados o de otra manera accesibles a través de la Empresa o de sus socios o a para ellos, en los Servicios o a través de ellos.

A título enunciativo y no limitativo, usted no realizará ninguna de las siguientes acciones, ni directa ni indirectamente, ni permitirá que ningún tercero las realice: (a) Tomar ninguna medida ni (b) subir, bajar, publicar, presentar ni de otra manera distribuir o facilitar la distribución de ningún contenido en los Servicios o a través de ellos que:

infrinja algún patente, marca comercial, secreto industrial, derecho de autor, derecho de publicidad ni ningún otro derecho de ninguna persona o identidad;

sea ilícito, amenazante, abusivo, acosador, difamatorio, injurioso, engañoso, fraudulento, invasivo de la privacidad de otra persona, perjudicial, obsceno, ofensivo o profano;

constituye publicidad no autorizada o no solicitada o mensajes por correo electrónico no deseados o masivos (“correo basura”);

esté relacionado con actividades comerciales o ventas sin el consentimiento previo por escrito de la Empresa, tales como concursos, loterías, trueque, publicidad o esquemas de pirámide;

contenga virus de software o todo otro código, archivo o programa informático diseñado o concebido para perturbar, dañar, limitar o interferir con el funcionamiento apropiado de cualquier software, hardware o equipo de telecomunicaciones o para dañar u obtener acceso no autorizado a cualquier sistema, dato, contraseña u otra información de la Empresa o de cualquier tercero; o

imite a cualquier persona o entidad, inclusive algún empleado o representante de la Empresa.

Además, usted no deberá: (a) tomar ninguna medida que imponga o que podría imponer (según lo determine la Empresa a su criterio exclusivo) una carga inaceptable o desproporcionadamente grande a la infraestructura de la Empresa (o de terceros proveedores); (b) interferir ni intentar interferir en el funcionamiento adecuado de los Servicios ni ninguna actividad realizada en los Servicios; (c) evitar ninguna medida utilizada por la Empresa para impedir o restringir el acceso a los Servicios (o a otras cuentas, sistemas informáticos o redes conectadas a los Servicios); (d) utilizar Maillist ni Listserv ni ninguna forma de contestador automático o “correo basura” en los Servicios; ni (e) utilizar software o dispositivos manuales o automáticos ni otros procesos para rastrear o utilizar robots en ninguna página de los Sitios.

Usted no deberá (ni directamente ni indirectamente): (a) descifrar, decompilar, desmontar, realizar actos de ingeniería inversa ni de otra manera intentar derivar ningún código de fuente ni ideas subyacentes ni algoritmos de ninguna parte del Servicios, salvo en la medida limitada en la que las leyes vigentes prohíban específicamente tal restricción; (b) modificar, traducir ni de otra manera crear obras derivadas de ninguna parte de los Servicios; ni (c) copiar, alquilar, arrendar, distribuir o de otra manera transferir ningún derecho ni todos los derechos que reciba por el presente. Cumplirá con todas las leyes y normas locales, estaduales, nacionales e internacionales vigentes.

La Empresa se reserva el derecho de retirar cualquier Contenido de los Sitios o de los Servicios en cualquier momento, por cualquier razón (inclusive, a título enunciativo y no limitativo, al recibir reclamos o alegaciones por parte de terceros o de autoridades en relación con tal Contenido o si a la Empresa la preocupa que usted haya violado las presentes Condiciones) o sin ninguna razón.

7. Registro; Consentimiento para Recibir Comunicaciones por Correo Electrónico / Teléfono

Como condición para utilizar ciertos aspectos de los Servicios, se le requerirá que se registre en la Empresa y seleccione una contraseña y un nombre de usuario (“Identificación de Usuario de la Empresa”). Usted le brindará a la Empresa información de registro verdadera, precisa, completa y actual. El incumplimiento de la presente disposición constituirá una violación de las presentes Condiciones, que podrá tener como consecuencia el cierre inmediato de su cuenta en la Empresa. Usted no (a) seleccionará ni utilizará como Identificación de Usuario de la Empresa el nombre de otra persona con la intención de hacerse pasar por tal persona; (b) utilizará como Identificación de Usuario de la Empresa un nombre sujeto a derechos de una persona distinta a usted sin la autorización correspondiente; ni (c) utilizará como Identificación de Usuario de la Empresa un nombre que sea de otra manera ofensivo, vulgar u obsceno. La Empresa se reserva al derecho de rechazar el registro de una Identificación de Usuario de la Empresa o de cancelarla, a su criterio exclusivo. Usted es exclusivamente responsable de la selección de su Identificación de Usuario de la Empresa y de la actividad que tiene lugar en su cuenta. Además, usted será responsable de la selección de la contraseña de su cuenta, así como del mantenimiento de su confidencialidad. Nunca utilizará la cuenta de otro usuario sin la autorización expresa de tal usuario. Notificará en forma inmediata a la Empresa, por escrito, de todo uso no autorizado de su cuenta o de toda otra violación de la seguridad de las cuentas de la que tenga conocimiento.

Como condición para utilizar nuestros Sitios y participar en nuestros Servicios, se le requerirá que brinde a la Empresa su dirección de correo electrónico y número de teléfono como parte del registro. Como parte de los Sitios y Servicios, usted recibirá de nuestra parte mensajes por correo electrónico y otras comunicaciones (por ejemplo, mensajes SMS y llamadas de voz) relacionadas con su uso de nuestros Sitios o con su participación en nuestros Servicios. Al divulgar tal información de contacto o al enviar de otra manera comunicaciones electrónicas a través de los Servicios o de los Sitios, usted reconoce y acepta que podremos enviarle comunicaciones por correo certificado, correo electrónico y otras comunicaciones electrónicas, mensajes SMS, llamadas de voz o de otro tipo que determinemos, según nuestro criterio exclusivo, que están relacionados con su uso de nuestros Sitios o con su participación en nuestros Servicios. Como parte del uso de nuestros Sitios o Servicios, usted acepta recibir todos los acuerdos, notificaciones, divulgaciones y otras comunicaciones que le brindemos en formato electrónico, y reconoce que la recepción de tales documentos en formato electrónico satisface todo requisito legal de que tales comunicaciones se envíen por escrito.

NÓTESE QUE CUANDO USTED SE COMUNICA CON NOSOTROS POR CORREO ELECTRÓNICO O MENSAJE DE TEXTO, TAL COMUNICACIÓN PODRÁ NO SER SEGURA, DADO QUE SE TRANSMITE POR LÍNEAS DE COMUNICACIÓN NO PROTEGIDAS. AL ENVIARNOS INFORMACIÓN CONFIDENCIAL O PERSONAL POR CORREO ELECTRÓNICO O MENSAJE DE TEXTO, O AL ACEPTAR RECIBIR NUESTRAS COMUNICACIONES ELECTRÓNICAS POR CORREO ELECTRÓNICO O MENSAJE DE TEXTO, USTED RECONOCE Y ACEPTA TODO RIESGO Y TODOS LOS DAÑOS Y PERJUICIOS QUE PUEDAN SURGIR DE LA DIVULGACIÓN DE TAL INFORMACIÓN DURANTE SU TRANSMISIÓN.

8. Tarifas y Pagos

La Empresa se reserva el derecho de requerir el pago de tarifas para ciertas aplicaciones de los Servicios. Si usted decide suscribirse a tales aplicaciones, pagará todas las tarifas aplicables, según se describen en los Sitios en relación con tales aplicaciones. La Empresa se reserva el derecho de modificar su lista de precios y de aplicar nuevas tarifas en cualquier momento, previo aviso que le será enviado por correo electrónico o será publicado en los Sitios. Su uso de los Servicios luego de tal notificación constituye su aceptación de toda tarifa nueva o aumentada.

9. Sitios y Materiales de Terceros

Los Servicios podrán permitirle exhibir, utilizar, incluir o brindar contenido, datos, información, aplicaciones o materiales de terceros (“Materiales de Terceros”) o suministrar enlaces a ciertos sitios web de terceros (“Sitios Web de Terceros”). Por ejemplo, los Servicios podrán integrar y utilizar una balanza a través del proveedor de tecnología BodyTrace. En tal caso, antes de utilizar tales Servicios, deberá aceptar las BodyTrace: Condiciones de Uso yBodyTrace: Política de Privacidad.

Cuando permite el uso de Materiales de Terceros o acceso a Sitios Web de Terceros, lo hace por su propia cuenta y riesgo y usted comprende y acepta que es exclusivamente responsable de la lectura y comprensión de todas las condiciones de uso o políticas de privacidad que se apliquen a tales Materiales de Terceros o Sitios Web de Terceros. Tales Materiales de Terceros o Sitios Web de Terceros no están controlados por la Empresa, y la Empresa no es responsable de la disponibilidad, confiabilidad, contenido, funciones, precisión, legalidad, idoneidad, servicios, materiales o ningún otro aspecto de tales Materiales de Terceros o hallados mediante el uso de algún Sitio Web de Terceros con enlace a los Servicios o desde ellos o a los que se hace referencia de otra manera en los Servicios. La Empresa brinda tales Materiales de Terceros y enlaces a Sitios Web de Terceros para su conveniencia, y usted comprende que la Empresa no controla el contenido ni el desempeño de ningún Sitio Web de Terceros y que la Empresa no es responsable del contenido ni del desempeño de ninguno de tales Sitios Web de Terceros. La inclusión de tales Materiales de Terceros o de enlaces en los Servicios no implica la aprobación por parte de la Empresa ni ninguna asociación con los operadores del sitio web de terceros. La Empresa tampoco acepta ninguna responsabilidad por fallas técnicas ni por el acceso no autorizado a transmisiones de usuarios por parte de terceros.

Los proveedores de Materiales de Terceros y Sitios Web de Terceros (cada uno de los cuales se denomina “Tercero Proveedor de Servicios”) podrán recolectar y utilizar cierta información acerca de usted, según lo especificado en sus políticas de privacidad y condiciones de uso. Antes de utilizar o brindar información a un Tercero Proveedor de Servicios, deberá revisar su política de privacidad y condiciones de uso. Si usted no comprende o no acepta los términos de la política de privacidad o de las condiciones de uso de un Tercero Proveedor de Servicios, no deberá utilizar los servicios de terceros respectivos.

POR EL PRESENTE, LA EMPRESA RENUNCIA A TODA RESPONSABILIDAD POR TODA INFORMACIÓN SUYA RECOLECTADA O UTILIZADA POR UN TERCERO PROVEEDOR DE SERVICIOS. ADEMÁS, USTED ACEPTA QUE LA EMPRESA NO TENDRÁ NINGUNA RESPONSABILIDAD POR NINGUNA INFORMACIÓN, SOFTWARE, MATERIALES O SERVICIOS PROVISTOS POR NINGÚN TERCERO, INCLUSIVE, A TÍTULO ENUNCIATIVO Y NO LIMITATIVO, TERCEROS PROVEEDORES DE SERVICIOS CUYOS ENLACES ESTÉN INCLUIDOS EN LOS SERVICIOS, Y USTED ACEPTA ASUMIR TODA RESPONSABILIDAD POR TODOS LOS DAÑOS Y PERJUICIOS, PÉRDIDAS U OTROS DAÑOS, YA SEA A USTED O A TERCEROS, QUE DERIVEN DE SU USO DE MATERIALES DE TERCEROS Y DE SITIOS WEB DE TERCEROS O ATRIBUIDOS A ÉL.

10. Empresa, Contenido, Propiedad Intelectual

Los Servicios y el Contenido están protegidos por leyes de propiedad intelectual, derechos de autor, marcas comerciales, patentes, secretos industriales y otras leyes de los Estados Unidos e internacionales. Los Sitios, los Servicios y el Contenido son propiedad exclusiva de la Empresa. Usted observará todas las notificaciones, información y restricciones de derechos de autor contenidas en todo Contenido al que acceda a través de los Servicios. Usted se compromete a no vender, otorgar licencias, alquilar, modificar, distribuir, copiar, reproducir, transmitir, exhibir públicamente, representar públicamente, publicar, adaptar, editar ni crear obras derivadas de los Servicios o de ningún Contenido o presentación de terceros o de otros derechos de propiedad que no le pertenezcan, ni a explotarlos de otra manera, (a) sin el consentimiento de los propietarios respectivos u otro derecho válido, y (b) de manera que viole el derecho de un tercero.

Usted podrá, en la medida en que lo autoricen expresamente los Sitios, bajar o copiar el Contenido y otros ítems exhibidos en los Sitios para su descarga, para uso personal, sólo conforme a las presentes Condiciones, siempre y cuando cumpla con toda notificación respecto de derechos de autor, marcas comerciales y otras notificaciones contenidas en tal Contenido. Usted no almacenará una parte significativa de ningún Contenido de ninguna forma. La reproducción o el almacenamiento de Contenido para fines distintos a su uso personal y no comercial conforme a las presentes Condiciones quedan expresamente prohibidos sin la autorización previa por escrito de la Empresa, o del propietario de los derechos de autor identificado en la notificación de derechos de autor del Contenido. Usted reconoce que al utilizar los Servicios, accederá a todo Contenido por su propia cuenta y riesgo y será exclusivamente responsable de todos los daños o perjuicios o pérdidas a cualquier persona derivados de él. La Empresa no será responsable en ninguna circunstancia ni de ninguna manera por ningún Contenido, inclusive, a título enunciativo y no limitativo, errores u omisiones de todo Contenido o pérdidas o daños de ningún tipo que tengan lugar en relación con el uso o la exposición a cualquier Contenido publicado, enviado por correo electrónico, accedido, transmitido o de otra manera disponible mediante los Servicios.

Sujeto a su cumplimiento de las presentes Condiciones, según sus modificaciones (y de toda otra condición que rija su uso de los Servicios) se le otorga el derecho personal, no exclusivo, no transferible no sublicenciable, revocable y limitado de ingresar a nuestro Sitio y utilizar los Servicios. Todos los derechos a los Sitios y a los Servicios y sobre ellos no otorgados expresamente en las presentes Condiciones quedan, por el presente, reservados y retenidos por la Empresa.

Omada Health, Omada, Prevent y el logo O (las “Marcas de la Empresa”) son marcas comerciales o marcas registradas de Omada Health, Inc. Otras marcas comerciales, marcas de servicios, gráficos y logos que aparecen en los Sitios o los Servicios podrán ser propiedad de terceros (las “Marcas de Terceros”). Ni su uso de los Sitios o los Servicios ni las presentes Condiciones le otorgan ningún derecho, título o participación en ninguna licencia para reproducir o utilizar de otra manera, las Marcas de la Empresa ni ninguna Marca de Terceros.

11. Presentaciones de Usuarios

Los Servicios le podrán brindar la capacidad de crear, subir, presentar (a través de nuestros Sitios o a través de sitios web, software o herramientas de terceros), divulgar, distribuir o publicar de otra manera (en adelante “publicación”) contenido (que incluye información médica personal), videos, clips de audio, comentarios escritos en foros, datos, texto, fotografías, software, guiones, gráficos, obras de autoría u otra información relacionada con los Servicios, inclusive, a título enunciativo y no limitativo, toda opinión o sugerencia para realizar mejoras u optimizaciones o corregir errores (en forma colectiva, “Presentaciones de Usuarios”). Usted nos declara y garantiza que tiene el derecho legal de publicar tales Presentaciones de Usuarios y que tal publicación no violará ninguna ley ni infringirá ni violará los derechos de ninguna persona o entidad.

Al publicar Presentaciones de Usuarios en alguno de los Sitios o de otra manera a través de los Servicios, inclusive, a título enunciativo y no limitativo, toda información médica o personal individualmente identificable que nos entregue, usted nos asigna, por el presente, en forma irrevocable e incondicional, todo derecho, titulo y participación en tales Presentaciones de Usuarios (inclusive, a título enunciativo y no limitativo, toda modificación, reproducción u obras derivadas de ellas) y todas las Presentaciones de Usuarios que nos brinde a través de los Sitios o de los Servicios se considerarán y continuarán siendo de nuestra propiedad, sujeto al cumplimiento por parte de la Empresa de la Política de Privacidad actual, de la notificación de la HIPAA y de todas las leyes federales y estaduales vigentes. Además, usted comprende y acepta que la Empresa tiene derecho a crear, utilizar y divulgar tales Presentaciones de Usuarios luego de que se hayan vuelto anónimas conforme a la sección 164.514 del Título 45 del CFR.

Usted comprende que la Empresa tendrá derecho a volver anónimos, a reformatear, a citar o a traducir todo material, contenido o información presentado por usted y que toda la información publicada en forma pública o transmitida en forma privada a través de los Sitios es de la responsabilidad exclusiva de la persona de la que se originó tal contenido y que la Empresa no será responsable de ningún error ni omisión en ningún contenido; y que la Empresa no puede garantizar la identidad de ningún otro usuario con quien podría interactuar al utilizar los Servicios.

La Empresa no avala ni tiene ningún control sobre ninguna de las Presentaciones de los Usuarios. La Empresa no puede garantizar la autenticidad de ninguno de los datos brindados por los usuarios sobre sí mismos.

La Empresa no tiene ninguna obligación de supervisar los Sitios, Servicios, Contenido o Presentaciones de Usuarios. La Empresa podrá retirar toda Presentación de un Usuario en cualquier momento por cualquier razón (inclusive, a título enunciativo y no limitativo, al recibir reclamos o alegaciones de terceros o de autoridades en relación con tal Presentación de un Usuario) o por ninguna razón. Usted comprende que la Empresa tendrá el derecho, pero no la obligación, de registrar o controlar toda forma de comunicación telefónica, por correo electrónico y otras para fines de aseguramiento de calidad y capacitación. Al aceptar las presentes Condiciones, usted presta su consentimiento para tal registro o almacenamiento.

12. Suspensión

La Empresa podrá suspender su acceso a todos los Servicios o parte de ellos en cualquier momento, con o sin causa, con o sin notificación, con efecto inmediato, lo cual podría tener como consecuencia la confiscación y destrucción de toda la información asociada a su cuenta. Al suspender su derecho a utilizar nuestros Servicios o Sitios o al suspender los Servicios o Sitios, todas las licencias y otros derechos que se le hayan otorgado conforme a las presentes Condiciones se suspenderán en forma inmediata.

Si usted desea cerrar su cuenta, podrá hacerlo al seguir las instrucciones en los Sitios. Ninguna de las tarifas pagadas conforme a las presentes Condiciones es reembolsable. Todas las disposiciones de las presentes Condiciones que, por su naturaleza, deberían mantenerse vigentes luego de la suspensión se mantendrán vigentes luego de la suspensión, inclusive, a título enunciativo y no limitativo, disposiciones acerca de la propiedad, exenciones de responsabilidad sobre garantías, indemnidad y limitaciones de responsabilidad.

13. Exención de Responsabilidad Sobre Garantías

La Empresa no tiene ninguna relación especial ni ninguna obligación fiduciaria con usted. LOS SERVICIOS (ENTRE ELLOS, A TÍTULO ENUNCIATIVO Y NO LIMITATIVO, TODO CONTENIDO) SE PROVEEN “EN EL ESTADO EN QUE SE ENCUENTRAN” Y “SEGÚN ESTÉN DISPONIBLES” Y SIN GARANTÍA DE NINGÚN TIPO, NI EXPLÍCITA NI IMPLÍCITA, INCLUSIVE, A TÍTULO ENUNCIATIVO Y NO LIMITATIVO, GARANTÍAS IMPLÍCITAS DE TÍTULO, DE NO VIOLACIÓN, DE COMERCIABILIDAD O DE IDONEIDAD PARA UN FIN PARTICULAR, Y TODA GARANTÍA IMPLICADA POR TODO TRANSCURSO DE EJECUCIÓN O USOS Y COSTUMBRES MERCANTILES, DE TODAS LAS CUALES LA EMPRESA QUEDA EXPRESAMENTE EXENTA. LA EMPRESA Y SUS DIRECTORES, EMPLEADOS, REPRESENTANTES, PROVEEDORES, SOCIOS Y PROVEEDORES DE CONTENIDO NO GARANTIZAN QUE: (A) LOS SERVICIOS ESTARÁN SEGUROS NI DISPONIBLES EN NINGÚN MOMENTO NI EN NINGÚN LUGAR EN PARTICULAR; (B) TODO DEFECTO O ERROR SERÁ CORREGIDO; (C) TODO CONTENIDO O SOFTWARE DISPONIBLE EN LOS SERVICIOS O A TRAVÉS DE ELLOS SEA GRATUITO NI QUE NO CONTENGAN VIRUS NI OTROS COMPONENTES NOCIVOS; O (D) LOS RESULTADOS DEL USO DE LOS SERVICIOS CUMPLIRÁN CON SUS REQUISITOS O CON EL FIN INDICADO. USTED UTILIZA LOS SERVICIOS EXCLUSIVAMENTE POR SU PROPIA CUENTA Y RIESGO.

ALGUNOS ESTADOS NO PERMITEN LIMITACIONES SOBRE LA DURACIÓN DE GARANTÍAS IMPLÍCITAS, POR LO CUAL LAS LIMITACIONES PRECEDENTES PODRÍAN NO APLICARSE A USTED.

14. Indemnización

Usted defenderá, indemnizará y mantendrá indemne a la Empresa, a sus filiales y a cada uno de sus empleados, contratistas, directores, proveedores y representantes, así como a aquellos de sus filiales, frente a toda responsabilidad, reclamo y gasto, inclusive honorarios razonables de abogados, que surjan o estén relacionados con lo siguiente: (a) su uso o uso incorrecto o acceso a los Servicios, el Contenido o de otra manera con sus Presentaciones de Usuario; (b) su incumplimiento con las presentes Condiciones; (c) su violación o violación alegada de toda ley, disposición o norma federal, estadual o local vigente; o (d) la violación por parte de usted o de cualquier tercero que utilice su cuenta de cualquier derecho de propiedad intelectual u otro derecho de cualquier persona o entidad. La Empresa se reserva el derecho de asumir la defensa y el control exclusivos de todo asunto sujeto de otra manera a indemnización por parte de usted, en cuyo caso asistirá y colaborará con la Empresa en la afirmación de toda defensa disponible.

15. Limitación de Responsabilidad

EN NINGÚN CASO TENDRÁN LA EMPESA NI SUS DIRECTORES, EMPLEADOS, REPRESENTANTES, SOCIOS, PROVEEDORES NI PROVEEDORES DE CONTENIDOS, NINGUNA RESPONSABILIDAD CONTRACTUAL, EXTRACONTRACTUAL, OBJETIVA, POR NEGLIGENCIA O POR NINGUNA OTRA TEORÍA CONFORME A DERECHO O EQUIDAD, RESPECTO DE LOS SERVICIOS (INCLUSIVE, A TÍTULO ENUNCIATIVO Y NO LIMITATIVO, TODO CONTENIDO): (A) POR NINGÚN LUCRO CESANTE, PÉRDIDA DE DATOS, COSTO DE ADQUISICIÓN DE BIENES O SERVICIOS SUSTITUTOS O DAÑOS ESPECIALES, INDIRECTOS, FORTUITOS, PUNITIVOS, EJEMPLARES O EMERGENTES DE NINGÚN TIPO, DE BIENES O SERVICIOS SUSTITUTOS (INDEPENDIENTEMENTE DE CÓMO SURJAN); (B) POR NINGÚN ERROR, VIRUS, TROYANO O PROBLEMAS SIMILARES (INDEPENDIENTEMENTE DE SU ORIGEN); (C) POR SU DEPENDENCIA DE LOS SERVICIOS; NI (D) POR NINGÚN DAÑO DIRECTO SUPERIOR (EN TOTAL) A CIEN DÓLARES ESTADOUNIDENSES (US$100,00). ALGUNOS ESTADOS NO PERMITEN LA EXCLUSIÓN O LIMITACIÓN DE DAÑOS FORTUITOS O EMERGENTES, POR LO CUAL LAS LIMITACIONES Y EXCLUSIONES PRECEDENTES PODRÍAN NO APLICARSE A USTED SI RESIDE EN TAL JURISDICCIÓN.

NINGUNA PARTE DEL PRESENTE LIMITARÁ LA RESPONSABILIDAD PROFESIONAL POTENCIAL DE UN MÉDICO U OTRO PROVEEDOR DE ATENCIÓN MÉDICA AUTORIZADO QUE SURJA O SE RELACIONE CON SERVICIOS MÉDICOS QUE USTED PODRÁ RECIBIR COMO CONSECUENCIA DEL USO DE LOS SERVICIOS. NO SOMOS RESPONSABLES ANTE NINGUNA PERSONA NI USUARIO POR NINGÚN DAÑO CAUSADO POR NEGLIGENCIA O DOLO POR PARTE DE CUALQUIER PROFESIONAL MÉDICO AUTORIZADO O POR CUALQUIER OTRA PERSONA.

Al utilizar los servicios, se transmitirá información a través de un medio que podría estar fuera del control y de la jurisdicción de la Empresa, sus clientes o vendedores. Como consecuencia, la Empresa no asume ninguna responsabilidad en relación con la demora, divulgación no intencional, falla, interrupción o corrupción de ningún dato ni de otra información transmitida en relación con el uso de los Servicios.

Todo reclamo contra la Empresa que surja en relación con su uso de los Servicios deberá presentarse contra la Empresa dentro del plazo de un (1) año a partir de la fecha del evento que originó tal acción.

16. Uso Internacional

La Empresa no declara que los Servicios sean apropiados ni que estén disponibles para su uso en zonas fuera de los Estados Unidos y el acceso a los Servicios está prohibido desde territorios en los que tales Servicios son ilegales. Si usted accede a los Servicios desde otras zonas, lo hace por su propia cuenta y es responsable del cumplimiento con las leyes locales.

17. Ley Aplicable; Resolución de Conflictos

Una versión impresa de las presentes Condiciones y de toda notificación provista en formato electrónico será admisible en procedimientos judiciales o administrativos basados en las presentes Condiciones o en relación con ellas, en la misma medida y sujeto a las mismas condiciones que otros documentos y registros comerciales generados originalmente y mantenidos en formato impreso.

Las presentes Condiciones serán regidas e interpretadas conforme a las leyes del Estado de California, con la exclusión de sus normas de conflicto de leyes, y de los Estados Unidos de América. Todo conflicto que surja del contenido del presente Acuerdo o en relación con él será resuelto de manera firme mediante un arbitraje vinculante en el Condado de San Francisco, California, utilizando el idioma inglés, conforme a las Normas y Procedimientos de Arbitraje de Judicial Arbitration and Mediation Services, Inc. (“JAMS”) vigentes en el momento, por un árbitro comercial con experiencia sustancial en la resolución de conflictos de propiedad intelectual y contratos comerciales, que será seleccionado de una lista adecuada de árbitros de JAMS, de acuerdo con las Normas y Procedimientos Globales de Arbitraje de JAMS. La parte vencedora del arbitraje tendrá derecho a recibir el reembolso de sus gastos razonables (entre ellos, honorarios razonables de abogados, de peritos y todo otro gasto) incurridos en relación con él. La sentencia sobre el laudo correspondiente podrá ser dictada por un tribunal competente o se podrá solicitar ante tal tribunal la aceptación judicial de todo laudo y una orden de cumplimiento, según corresponda. Sin perjuicio de lo anterior, cada parte tendrá derecho a interponer una acción ante un tribunal de jurisdicción apropiada para reclamar una medida cautelar o compensación equitativa, a la espera de la decisión firme del árbitro. 18. Integridad y Divisibilidad

19. Disposiciones Varias

La Empresa no será responsable del incumplimiento con sus obligaciones conforme al presente en los casos en que tal incumplimiento se derive de alguna causa que esté fuera del control razonable de la Empresa, inclusive, a título enunciativo y no limitativo, fallas o degradación mecánicas, electrónicas o de comunicaciones (inclusive interferencia de ruidos de línea). Las presentes Condiciones son suyas y usted no podrá ceder, transferir ni sublicenciarlas sin el consentimiento previo por escrito de la Empresa. We reserve the right, at our discretion, to modify, replace, update or change any of these Terms or change, suspend, or discontinue the Services (including without limitation, the availability of any feature, database, or content) at any time and for any reason. Company shall not be liable to you for any such modification, replacement, suspension or discontinuation of your rights to access and use the Services. However, if we make any material changes to these Terms, we will notify registered users by e-mail, post a notice on our home page and/or alert you to such changes by other similar means. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability. It is your responsibility to check these Terms periodically for changes. By continuing to use the Services, you agree to accept all such revisions.

If you accept these Terms, but later decide that you want to terminate your account, please contact Customer Support at support@omadahealth.com, and Company will verify and complete your request.

1 Applicability of These Terms

Your access to, and use of the Services is expressly conditioned on your acceptance of and compliance with these Terms. These Terms apply to all users of the Services, including users who are also contributors of content, information, and other materials or services in the Services. If you do not agree with these Terms, you are not authorized to access or use any portion of the Services in any manner, for any purpose.

Your use of any Services with which we may be affiliated may be subject to additional terms, including terms and conditions provided by a third party. If you do not agree with any of these additional terms and conditions, you are not authorized to use the Services subject to such additional terms.

In order to receive our Services, you must register as more fully described below in the section entitled “Registration.” The Services are available only to individuals who are at least 18 years old. You represent and warrant that you have the legal ability (capacity) to enter into a binding contract and are at least 18 years old, and that all registration information you submit is accurate and truthful. Company may, in its sole discretion, refuse to offer the Services to any person or entity and change our eligibility criteria at any time for any reason.

2 Our Services

As part of the Services, we offer group-based programs to certain individuals (such as web-based health coaching services) for changing behaviors that can lead to health problems. Our Services may include, without limitation, the following:

RATHER, THE SERVICES ENABLE REGISTERED USERS TO ACCESS WEB-BASED HEALTH COACHING TOOLS AND RESOURCES, INCLUDING A HEALTH COACH, WHO MAY PROVIDE YOU WITH LIMITED WEB-, TELEPHONE-, SMS-, OR EMAIL-BASED SUPPORT TO THE EXTENT PROVIDED BY APPLICABLE LAWS. HEALTH COACHES ARE NOT LICENSED PHYSICIANS OR LICENSED HEALTH CARE PROVIDERS.

COMPANY DOES NOT EMPLOY OR CONTRACT WITH PHYSICIANS OR LICENSED MEDICAL PROFESSIONALS TO PROVIDE MEDICAL CARE TO YOU. COMPANY DOES NOT OFFER MEDICAL ADVICE OR DIAGNOSES OR ENGAGE IN THE PRACTICE OF MEDICINE. OUR SERVICES ARE NOT INTENDED TO BE, AND DO NOT CONSTITUTE, A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT AND ARE OFFERED FOR INFORMATIONAL PURPOSES ONLY. 4 No Emergency Services

THE SITES AND SERVICES ARE FOR NON-EMERGENCY PURPOSES ONLY. DO NOT ATTEMPT TO ACCESS EMERGENCY CARE THROUGH THE SITES OR THE SERVICES. IF AT ANY TIME YOU ARE CONCERNED ABOUT YOUR CARE OR TREATMENT, OR IF YOU THINK YOU HAVE A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST OPEN EMERGENCY ROOM.

THE SERVICES ARE NOT INTENDED TO SUPPORT OR CARRY EMERGENCY OR TIME-CRITICAL CALLS OR COMMUNICATIONS TO ANY TYPE OF HOSPITAL, LAW ENFORCEMENT AGENCY, MEDICAL CARE UNIT, OR ANY OTHER KIND OF EMERGENCY OR TIME-CRITICAL SERVICE.

If Company becomes aware of or contemplates an emergency that threatens your life, health or security, Company may, at its sole discretion secure from any licensed hospital, physician, and/or medical personnel (“Emergency Responders”) any emergency treatment deemed necessary by Company for your immediate care. You understand and agree that, in the event that Company does take any action with respect to securing Emergency Responders on your behalf, you, not Company, will be solely responsible for payment of any and all medical services rendered in connection with any such treatment.

5 Privacy and your Personal Information

Company’s current privacy policy is located at https://go.omadahealth.com/privacy (the “Privacy Policy”) and is expressly incorporated into these Terms. The Privacy Policy discloses Company’s practices regarding the collection, use, disclosure and otherwise processing of your personal information. By agreeing to these Terms, you are also agreeing to the terms of Company’s Privacy Policy and consenting to the use and disclosure of information provided to Company as set forth herein. For inquiries in regard to the Privacy Policy, or to report a privacy-related problem, please contact privacy@omadahealth.com.

The Services may include the ability to connect with a small social network of people diagnosed with certain medical conditions, including prediabetes, glucose intolerance, metabolic syndrome, or borderline diabetes. BY VISITING OR USING THE SERVICES, YOU CONSENT TO OUR COLLECTION, USE AND DISCLOSURE OF YOUR PERSONAL INFORMATION, INCLUDING HEALTH-RELATED INFORMATION SUCH AS YOUR MEDICAL CONDITIONS, IN ACCORDANCE WITH OUR PRIVACY POLICY. IF YOU DO NOT CONSENT TO THE DISCLOSURE OF THIS INFORMATION, YOU SHOULD NOT ACCESS OR USE THE SITES OR THE SERVICES.

By posting, creating, using, and disclosing data, including your individually identifiable health information through User Submissions on or at any of the Sites or otherwise through the Services, you hereby irrevocably and unconditionally acknowledge that all such data is owned by Company, subject to Company’s compliance with the current Privacy Policy and all applicable privacy laws.

6 Rules and Conduct

As a condition of use, you agree not to use the Services for any purpose that is prohibited by these Terms. The Services (including, without limitation, any Content or User Submissions (both as defined below)) are provided only for your own personal, non-commercial, limited use in accordance with these Terms. You are responsible for all of your activity in connection with the Services. For purposes of these Terms, the term “Content” includes, without limitation, any advertisements, advice, suggestions, videos, audio clips, written forum comments, information, materials, data (obtained about you through the Services or from third parties), text, photographs, images, software, scripts, art, graphics, logos, button icons and interactive features generated, provided, or otherwise made accessible by or to Company or its partners on or through the Services.

By way of example, and not limitation, you shall not, and shall not permit any third party to, directly or indirectly (a) take any action or (b) upload, download, post, submit or otherwise distribute or facilitate distribution of any content on or through the Services, that:

Additionally, you shall not: (a) take any action that imposes or may impose (as determined by Company in its sole discretion) an unreasonable or disproportionately large load on Company’s (or its third party providers’) infrastructure; (b) interfere or attempt to interfere with the proper working of the Services or any activities conducted on the Services; (c) bypass any measures Company may use to prevent or restrict access to the Services (or other accounts, computer systems or networks connected to the Services); (d) run Maillist, Listserv, any form of auto-responder or “spam” on the Services; or (e) use manual or automated software, devices, or other processes to “crawl” or “spider” any page of the Sites.

You shall not (directly or indirectly): (a) decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Service, except to the limited extent applicable laws specifically prohibit such restriction; (b) modify, translate, or otherwise create derivative works of any part of the Services; or (c) copy, rent, lease, distribute, or otherwise transfer any or all of the rights that you receive hereunder. You shall abide by all applicable local, state, provincial, national and international laws and regulations.

Company reserves the right to remove any Content from the Sites or the Services at any time, for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content or if Company is concerned that you may have violated these Terms), or for no reason at all.

7 Registration; Consent to Receive Email/Phone Communications

As a condition to using certain aspects of the Services, you will be required to register with Company and select a password and screen name (“Company User ID”). You shall provide Company with true, accurate, complete, and current registration information. Failure to do so shall constitute a breach of these Terms, which may result in immediate termination of your Company account. You shall not (a) select or use as a Company User ID a name of another person with the intent to impersonate that person; (b) use as a Company User ID a name subject to any rights of a person other than you without appropriate authorization; or (c) use as a Company User ID a name that is otherwise offensive, vulgar or obscene. Company reserves the right to refuse registration of, or cancel a Company User ID in its sole discretion. You are solely responsible choosing your Company User ID and for activity that occurs on your account. Additionally, you shall be responsible for setting your account password, as well as maintaining its confidentiality. You shall never use another user’s account without such other user’s express permission. You will immediately notify Company in writing of any unauthorized use of your account, or other account related security breach of which you become aware.

As a condition of using our Sites and participating in our Services, you will be required to provide Company with your email address and phone number as part of registration. As part of the Sites and Services, you will receive from us email and other communications (e.g., SMS messages and voice calls) relating to your use of our Sites and/or your participation in our Services. By disclosing this contact information or otherwise sending electronic communications through the Services or the Sites, you acknowledge and agree that we may send you communications through registered mail, email and other electronic communications, SMS messages, voice calls or otherwise, that we determine, in our sole discretion, are related to your use of our Sites and/or participation in our Services, and for as long as you do not unsubscribe from receiving such communications. As part of using our Sites and or Services you agree to receive all agreements, notices, disclosures and other communications that we provide to you in electronic form, and acknowledge that receipt of such documents in electronic form satisfies any legal requirement that such communications be in writing.

We use a secured messaging service when we contact you by email or text. However, no computer or communication lines are perfectly secure and our security measures can only serve to help minimize the risk of security issues. BY SENDING ANY CONFIDENTIAL OR PERSONAL INFORMATION TO US VIA EMAIL OR TEXT, OR AGREEING TO RECEIVE ELECTRONIC COMMUNICATIONS FROM US THROUGH EMAIL OR TEXT, YOU ACKNOWLEDGE AND ACCEPT ANY RISK AND DAMAGE ARISING FROM DISCLOSURE OF SUCH INFORMATION IN THE COURSE OF TRANSMISSION.

8 Fees and Payment

Company reserves the right to require payment of fees for certain features of the Services. Should you elect to subscribe to such features, you shall pay all applicable fees, as described on the Sites in connection with such features.

NOT APPLICABLE TO RESIDENTS OF QUÉBEC

Company reserves the right to change its price list and to institute new charges at any time, upon prior notice to you, which may be sent by email or posted on the Sites. Use of the Services by you following such notification constitutes your acceptance of any new or increased charges.

9 Third-Party Sites and Materials

The Services may allow you to display, use, include or make available content, data, information, applications or materials from third parties (“Third Party Materials”) or provide links to certain third party websites (“Third Party Websites”). For example, the Services may integrate and use a scale through technology provider BodyTrace. In such an event, before using these Services, you must agree to the BodyTrace: Terms of Use and BodyTrace: Privacy Policy.

When you allow the use of any Third Party Materials or access any Third Party Websites, you do so at your own risk, and you understand and agree that you are solely responsible for reading and understanding any terms of use and/or privacy policies that apply to such Third Party Materials or Third Party Websites. These Third Party Materials and Third Party Websites are not under Company’s control, and Company is not responsible or liable for the availability, reliability, content, functions, accuracy, legality, appropriateness, services, materials or any other aspect of such Third Party Materials or found through the use of any Third Party Websites that link to or from the Services or are otherwise referenced in the Services. Company is providing these Third Party Materials and links to Third Party Websites for your convenience, and you understand that Company does not have control over the content and performance of any Third Party Websites and Company is not responsible for the content and/or performance of any such Third Party Websites. The inclusion of any such Third Party Materials or links in the Services does not imply endorsement by Company or any association with the third party website’s operators. Company also does not accept any responsibility for technical failures or for unauthorized access of user transmissions by any third parties.

The providers of Third Party Materials and Third Party Websites (each, a “Third Party Service Provider”) may collect and use certain information about you, as specified in their privacy policies and terms of use. Prior to using or providing any information to any Third Party Service Provider, you should review their privacy policy and terms of use. If you do not understand or do not agree to the terms of a Third Party Service Provider’s privacy policy and/or terms of use, you should not use the related third party services.

COMPANY HEREBY DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR ANY OF YOUR INFORMATION COLLECTED OR USED BY ANY THIRD PARTY SERVICE PROVIDER. IN ADDITION, YOU AGREE THAT COMPANY WILL HAVE NO RESPONSIBILITY OR LIABILITY FOR ANY INFORMATION, SOFTWARE, MATERIALS OR SERVICES PROVIDED BY ANY THIRD PARTIES, INCLUDING WITHOUT LIMITATION ANY THIRD PARTY SERVICE PROVIDERS LINKED THROUGH THE SERVICES, AND YOU AGREE TO ASSUME ALL RESPONSIBILITY AND LIABILITY FOR ANY DAMAGES, LOSS, OR OTHER HARM, WHETHER TO YOU OR TO THIRD PARTIES, RESULTING FROM OR ALLEGED TO HAVE RESULTED FROM YOUR USE OF THIRD PARTY MATERIALS AND THIRD PARTY WEBSITES.

10 Company, Content, Intellectual Property

The Services and the Content are protected under Canada, United States and international intellectual property, copyright, trademark, patent, trade secret and other laws. The Sites, the Services and the Content are the sole property of Company. You shall abide by all copyright notices, information, and restrictions contained in any Content accessed through the Services. You shall not sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, create derivative works from, or otherwise exploit the Services or any Content or third party submissions or other proprietary rights not owned by you, (a) without the consent of the respective owners or other valid right, and (b) in any way that violates any third party right.

You may, to the extent the Sites expressly authorize you to do so, download or copy the Content, and other items displayed on the Sites for download, for personal use only in accordance with these Terms, provided that you maintain all copyright, trademark and other notices contained in such Content. You shall not store any significant portion of any Content in any form. Copying or storing of any Content for other than personal, noncommercial use in accordance with these Terms is expressly prohibited without prior written permission from Company, or from the copyright holder identified in such Content’s copyright notice. You acknowledge that all Content accessed by you using the Services is at your own risk and you will be solely responsible for any damage or loss to any party resulting therefrom. Under no circumstances will Company be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred in connection with use of or exposure to any Content posted, emailed, accessed, transmitted or otherwise made available via the Services.

Subject to your compliance with these Terms, as revised (and any other terms governing your use of the Services) you are granted a personal, non-exclusive, non-transferable, non-sublicenseable, revocable, limited right to enter our Site and use the Services. All rights in and to the Sites and the Services not expressly granted in these Terms are hereby reserved and retained by Company.

Omada Health, Omada, Omada and the O logo (the “Company Marks”) are trademarks or registered trademarks of Omada Health, Inc. Other trademarks, service marks, graphics and logos appearing on the Sites or the Services may be the property of third parties (the “Third Party Marks”). Neither your use of the Sites or the Services nor these Terms grant you any right, title or interest in or to, or any license to reproduce or otherwise use, the Company Marks or any Third Party Marks.

11 User Submissions

The Services may provide you with the ability to create, upload, submit (through our Sites or through third-party websites, software or tools), disclose, distribute or otherwise post (hereafter, “posting”) content (including personal health information), videos, audio clips, written forum comments, data, text, photographs, software, scripts, graphics, works of authorship or other information related to the Services, including without limitation any feedback or suggestions for improvements, enhancements, or error corrections (collectively, “User Submissions”). You represent and warrant to us that you have the legal right to post such User Submissions and that doing so will not violate any law or infringe upon or violate the rights of any person or entity.

By posting User Submissions on or at any of the Sites or otherwise through the Services, including without limitation any individually identifiable health or personal information you submit to us, you hereby irrevocably and unconditionally assign to us all right, title, and interest in and to any such User Submissions (including, without limitation, any modifications, reproductions, or derivative works thereof), and all User Submissions, you supply to us through the Sites or the Services shall be deemed and shall remain our property, subject to Company’s compliance with the current Privacy Policy and all applicable federal, state and provincial privacy laws. You further understand and agree that Company has the right to create, use, and disclose such User Submissions after they have been de-identified.

You understand that Company shall have the right to de-identify, reformat, excerpt, or translate any materials, content or information submitted by you; and that all information publicly posted or privately transmitted through the Sites is the sole responsibility of the person from which such content originated and that Company will not be liable for any errors or omissions in any content; and that Company cannot guarantee the identity of any other users with whom you may interact in the course of using the Services.

Company does not endorse and has no control over any User Submissions. Company cannot guarantee the authenticity of any data which users may provide about themselves.

Company may remove any User Submission at any time for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such User Submission or in order to comply with applicable laws), or for no reason at all. You understand that Company shall have the right, but not the obligation, to record or monitor for quality assurance and training purposes all telephonic, e-mail and other forms of communication. By accepting these Terms, you consent to any such recording or saving.

12 Termination

NOT APPLICABLE TO RESIDENTS OF QUÉBEC

Company may terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately, which may result in the forfeiture and destruction of all information associated with your account. Upon termination of your right to use our Services or Sites or our termination of the Services or Sites, all licenses and other rights granted to you by these Terms will immediately terminate.

If you wish to terminate your account, you may do so by following the instructions on the Sites. Any fees paid hereunder are non-refundable. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Company has no special relationship with or fiduciary duty to you. THE SERVICES (INCLUDING, WITHOUT LIMITATION, ANY CONTENT) ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND ARE WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. COMPANY, AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS AND CONTENT PROVIDERS DO NOT WARRANT THAT: (A) THE SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICES IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS OR THE STATED PURPOSE. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14 Indemnification

You shall defend, indemnify, and hold harmless Company, its affiliates and each of its, and its affiliates employees, contractors, directors, suppliers and representatives from all liabilities, claims, and expenses, including reasonable attorneys’ fees, that arise from or relate to: (a) your use or misuse of, or access to, the Services, Content or otherwise from your User Submissions; (b) your breach of these Terms; (c) your violation or alleged violation of any applicable laws, rules and/or regulations; or (d) infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity. Company reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with Company in asserting any available defenses.

15 Limitation of Liability.

IN NO EVENT SHALL COMPANY, NOR ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS, BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICES (INCLUDING, WITHOUT LIMITATION, ANY CONTENT): (A) FOR ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, SUBSTITUTE GOODS OR SERVICES (HOWEVER ARISING); (B) FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE (REGARDLESS OF THE SOURCE OF ORIGINATION); (C) FOR YOUR RELIANCE ON THE SERVICES; OR (D) FOR ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) ONE-HUNDRED CANADIAN DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU IF YOU RESIDE IN SUCH A JURISDICTION.

NOTHING HEREIN SHALL LIMIT THE POTENTIAL PROFESSIONAL LIABILITY OF A PHYSICIAN OR OTHER LICENSED HEALTH CARE PROVIDER ARISING FROM OR RELATED TO MEDICAL SERVICES YOU MAY RECEIVE CONSEQUENT TO THE USE OF THE SERVICES. WE ARE NOT LIABLE TO ANY PERSON OR USER FOR ANY HARM CAUSED BY THE NEGLIGENCE OR MISCONDUCT OF ANY LICENSED MEDICAL PROFESSIONAL OR ANY OTHER PARTY.

When using the Services, information will be transmitted over a medium which may be beyond the control and jurisdiction of Company, its customers and/or its vendors. Accordingly, Company assumes no liability for or relating to the delay, unintended disclosure, failure, interruption or corruption of any data or other information transmitted in connection with use of the Services.

16 International Use.

Company makes no representation that the Services are appropriate or available for use in locations outside of Canada and the United States, and accessing the Services is prohibited from territories where such Services are illegal. If you access the Services from other locations, you do so at your own initiative and are responsible for compliance with local laws.

17 Governing Law; Dispute Resolution.

NOT APPLICABLE TO RESIDENTS OF QUÉBEC

A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

These Terms shall be governed by and construed in accordance with the laws of Ontario and the laws of Canada where they are applicable, without regard to conflict of law rulesprinciples. Any dispute arising from or relating to the subject matter of this Agreement shall be submitted to the non-exclusive jurisdiction of the courts of the province of Ontario. Notwithstanding the foregoing, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief.

18 Integration and Severability.

These Terms, the Privacy Policy, and any agreement referenced herein, constitute the entire agreement between you and Company with respect to the Services, and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Company with respect to the Services. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

19 Miscellaneous.

Company shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Company’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including “line-noise” interference). These Terms are personal to you, and are not assignable, transferable or sublicensable by you except with Company’s prior written consent. Company may assign, transfer or delegate any of its rights and obligations hereunder without consent. Our licensors may be entitled to enforce these Terms as third-party beneficiaries. There are no other third-party beneficiaries to these Terms except, if applicable, a party to an applicable Benefit Agreement. No agency, partnership, joint venture, or employment relationship is created as a result of these Terms and neither party has any authority of any kind to bind the other in any respect. In any action or proceeding to enforce rights under these Terms, the prevailing party will be entitled to recover costs and attorneys’ fees. All notices under these Terms will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service.
